Forming a limited company is one of the biggest structural decisions a PCN will make – and it’s not one to rush into without understanding what’s really driving it. This Deep Dive starts with the fundamentals: why PCNs are choosing to incorporate, what problem it’s actually solving for your network, and whether it’s the right move for your particular set of practices before you get anywhere near the paperwork.

From there, we’ll walk through the practical reality of setting one up. On the legal side, we’ll cover company structures, shareholder agreements, directorships, and the contractual relationship between the new entity and your member practices. On the financial side, we’ll look at accounting requirements, VAT considerations, payroll and employment implications, and how funding flows once you’re operating as a company rather than a loose network. We’ll also cover project management – how to sequence the transition, who needs to be involved, realistic timescales, and the common pitfalls that catch PCNs out along the way.

We’ll close with one of the most frequently asked questions: do you need CQC registration as a PCN limited company, and under what circumstances does that requirement kick in. You’ll leave with clarity on this point specifically, plus a practical roadmap for your own incorporation journey.
