1. Introduction
1.1 These Terms and Conditions (“Terms”) govern the subscription service (“Service”) provided by DKJ Support Services Ltd (“Company”, “we”, “our”, “us”).
1.2 By subscribing to our Service, you (“Client”, “you”, “your”) agree to be bound by these Terms.
2. Subscription Term
2.1 The minimum subscription period is twelve (12) months from the commencement date (“Initial Term”).
2.2 At the end of the Initial Term, the subscription will automatically renew for a further twelve (12) months (“Renewal Term”) unless the Client provides written notice of termination as per Clause 4.
3. Fees and Payments
3.1 Subscription fees shall be paid in accordance with the pricing agreed at the time of subscription.
3.2 All payments are due in advance unless otherwise agreed in writing.
3.3 We reserve the right to adjust subscription fees for any Renewal Term with prior notice.
4. Termination and Cancellation
4.1 The subscription is for a fixed term of twelve (12) months from the commencement date (“Initial Term”). The Client may terminate the subscription by providing at least three (3) months’ written notice prior to the end of the Initial Term.
4.2 If the Client terminates the subscription before the end of the Initial Term, no refund or credit will be issued for any remaining period of the subscription.
4.3 The Company reserves the right to suspend or terminate the subscription without notice in the event of non-payment or breach of these Terms by the Client.
5. Automatic Renewal
5.1 If the Client does not provide a termination notice in accordance with Clause 4, the subscription will automatically renew for a further twelve (12) months.
5.2 The Client will be liable for the subscription fees for the renewed period.
6. Changes to Terms
6.1 The Company reserves the right to amend these Terms with prior notice.
6.2 Continued use of the Service after such amendments constitutes acceptance of the revised Terms.
7. Limitation of Liability
7.1 The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service.
7.2 Our liability shall be limited to the total subscription fees paid by the Client for the relevant subscription period.
8. Governing Law
8.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
